could be one of several according to haynes

1. Faulty transaxle
2. Faulty clutch disc
3. Release lever and bearing not assembled properly
4. Faulty pressure plate
5. Pressure plate-to-flywheel bolts loose

Get it fixed fast or else you'll need a new tranny. Mine started out like that and got progressively worse.

Not sure, I can't down shift any more into any of the gears. I grind going into second and third constantly. Fourth gear no longer works. Fifth gear grinds occassionally. My tranny problems began with my second gear grinding. I checked out the shift linkage and it was fine. This all happened within a month.

You checked your tranny fluid level if you havent tried draining and replacing tranny fluid with Honda trans fluid right? But you knew that

Not neccessarily bad tranny.

Try this: Go clutchless to test the tranny. Here's how you do it; Run second gear up to about 4500 RPM's. As you let off the gas shift into neutral without the clutch. Blip the throttle up to about 5000 RPM's. As the RPM's come down off of the throttle blip you should be able to slip into gear fairly easy. Remember to be smooth and don't force anything.

If you can't get the trans to shift this way you have diagnosed a synchro problem. This is bad.

If you can get it to do this it's probably just the clutch. Not so bad.

fjm1 has a good point. Try it out and don't force it. If it takes you a few tries, don't dismay. This type of shifting is a style and an art that takes practice. If you hear a small gear grind as you shift into the next gear, you may not have hit the gear at the exact moment.

You want to be able to pull the trans out of gear without clutch and a moment later slip it into the next without the clutch. I used to do this daily until I got complacent and started smelling clutch, then I stopped and use the clutch now. But... it is still the perfect way to diagnose your syncro.

GIGGITY GIGGITY GONE!
