ok...a friend of mine just blew his 97 civic dx engine...he wants to put a rsx-s engine into it. First off...is this possible? second...is it worth it? due to the prelude h22a engine having 220hp and the rsx-s (k24 i think??) having 200hp...

Odyssey's have 3.5 l 240 hp v6 engines, I highly doubt it's a k24.

K series motors are from the TSX, RSX, RSX-S & Civic Si. The Odyssey's motor is based of the Accord.

A K series swap is getting a bit more economical as there are companies that make mount kits. To sum it up, possible, yes. Expense: not so cheap...
