See, what that code REALLY means is that the O2 sensor isn't getting the proper readings. Your second O2 sensor is only there so that your ECU can monitor emissions. If your second O2 sensor dies but the first one is giving good readings, the ECU will assume that there is something wrong with the cat.
I'm with Andy on this one.
Either your O2 sensor is dead, or you have an electrical short somewhere that is cutting the ECU in and out. Or it could be that the O2 sensor is only bad (shorting) part of the time, and so the ECU keeps cutting in and out of limp mode.
