I provide links to parts and a reasonably intelligent reason behind my comments, you tell me to shut up, and essentially, "LOL 1NTeL ROxZoRS!!!!!!" (Obviously I'm exaggerating, merely pointing out that your post is far less informative than mine.)
As far as OC'ing the processors, you'll definitely be able to get a higher mhz overclock from the 3.2c. The 3200+ runs at 2.0ghz, and I've heard it's easy to hit 2.4ghz w/ decent cooling, and heard of a couple running at 2.6ghz on air.
OC'ing still essentially leaves the processors in the same place (in my mind) with the Pentium being better at numbers-crunching, while the AMD still ends up better on the gaming front. Since the Athlon 64 processes code differently, it doesn't need quite as big of a mhz OC to stay competitive, as long as the percentage OC is roughly equivalent.
