So let's say a friend of mine was browsing through myspace and happen to find a chick friend from grade school who he's had the hots for but kind of lost touch through out the years because they had different friends but had a lot of things in common.

Your friend worries too much. It's pretty funny how people change after the years. There's nothing to lose in this, other than not messaging her.
-Said no when she wanted to get drinks one time, I was tired
-She gave me her number, I didn't ask for it
-Ignored her all this morning, she then asks me out to lunch
Just think of all the other guys that already did say "no" to the one you're pursuing. Yes I know you want to make her happy, but pleasing her when it's that obvious is a definite no-no. She's already won.
