to make it easy on yourself use windows media encoder and select to do a custom session, set the bitrate and stuff and then select in the sources panel only the audio source, and set it as the video file...

if you have nero it will be easier, i believe you can just select the avi and add it to the lisst and it will ripout the audio track ...i havent used it in a while, but i'm pretty sure it will do that...

1 pc to record the sound (record line in)
