Default Worth the Switch? 97 Acura 2.2 CL vs 94 Accord EX

i currently drive a 94 Accord EX auto. no leather. with 102 K miles...its really slow. im really looking for a V6 6th gen. but for right now its 2 much.

In the meantime, a friend of mine is selling a car he just got

97 Acura CL 2.2 - Stick, Sunroof, Leather, Premium package, 140 K miles brand new paint job
possibly 19's and HID's or maybe stock
(he may add these and sell it to make money, he got a good deal on the car. it had been stolen but it was only missing a radio and a left door panel, and a few scratches on the driver door. for under 2700)

Price $5,000.

What are the main differences between these? I know gauges layout and the engine are the same as my car.

(after driving a V6 Grand Am GT for 5 days and the fun factor going through the roof, the 4 Cyl Accord just doesnt appeal to me like it used to)

is it worth 5,000 for that CL i described?
...and...
is the CL actually any good ...... or is it just a way for Honda to make money by repackaging a old thing, a 5th gen accord, with minimal changes?

$5k for a stick accord is cheap but 140k might not end up cheap.

i feel like u my auto accord is slow in acceleration that is. i have a fully loaded 96 accord exl 4cyl just wish it was manual or have the power or a manual.
i can tell u any accord stick is very fast compare to a auto. save money get the v6 7th gen stick accord coupe
