Default Help!! ACURA LEGEND problems

I have a 1988 Acura Legend LS (automatic). The problem is when i am driving (especially with more than one person and at higher speeds) it will shift when it doesn't need to. It will drive in high RPMS (4,000 or higher). Also, when i let off the gas is when it down shifts causing whoever is in the car to jerk forward. I have taken it to a mechanic and i was not satisfied with his so called "diagnostic" (looking at the engine for less than 5 min and then driving it around the block never getting over 35 MPH) The mechanic told me it was my governer and i needed my transmission filter changed, no duh, to get to it "disassembly is required." He also told me to rebuild is going to cost $950.00 but would not explain WHAT i needed rebuilt. Can ANYONE help me out with my problem???? Even if you have the SLIGHTEST idea....anything helps at this point.
