All my heat sheilds were off a while ago, Its not rubbing. I think I have it pin pointed to the exhaust back (where the the straight pipe turns) I can actually see carbon on the outside where they come together. It seems to have burned out the old gasket (looks like the asbestos type). Maybe I just get a metal gasket in there.
